⚠️ IMPORTANT: This is a legally binding agreement. Please read carefully before registering.
1. MERCHANT RELATIONSHIP
1.1 Independent Contractor Status
You are an independent contractor operating your own food business — not an employee, agent, or partner of WEASEY. You are solely responsible for setting your own menu, pricing, hours, and service methods, and bear full responsibility for all taxes, business registrations, health and sanitation permits, food-handling licenses, and any other regulatory requirements under Philippine law.
1.2 Non-Exclusive Relationship
You are free to sell through other platforms. WEASEY may onboard other merchants, including those with similar products, without restriction.
2. REGISTRATION, PERMITS & COMPLIANCE
2.1 Licensing & Regulatory Compliance
You warrant that you possess and will maintain all required permits including: Mayor's/Business Permit, FDA License to Operate (where applicable), Sanitary Permit, and food safety certifications. Failure to maintain any permit may result in immediate suspension or removal.
2.2 Food Safety Standards
You agree to comply with all applicable food safety laws including the Food Safety Act of 2013 (RA 10611) and all DOH and FDA issuances. You are solely responsible for the quality, safety, and accuracy of all food items listed.
2.3 Verification & Audits
You consent to WEASEY conducting periodic verification of your credentials and permits at any time, including on short notice.
3. PLATFORM FEES & PAYMENT
3.1 Subscription Fee
WEASEY does not collect commissions on individual orders. All transactions are conducted directly between Merchant and Customer. Access to the Platform requires a recurring Subscription Fee at the published rate, billed monthly or annually. WEASEY reserves the right to revise fees with 30 days' advance written notice.
3.2 Free Trial Period
Each approved Merchant receives a complimentary 1-month free trial from account activation. After the 1-month trial, the account automatically transitions to a paid subscription. WEASEY will send a written reminder at least 7 days before the trial expires.
3.3 Billing, Cancellation & Non-Refund Policy
Fees are billed in advance and are non-refundable, except in cases of a billing error by WEASEY. Cancellation takes effect at the end of the current billing period. Refund requests must be submitted in writing to [email protected] within 15 days of the disputed billing date.
3.4 Tax Obligations
The Merchant is solely responsible for all taxes arising from customer transactions and Subscription Fees paid to WEASEY, including applicable VAT or withholding tax. WEASEY is not your tax agent.
4. MERCHANT OBLIGATIONS, CONDUCT & DISPUTES
4.1 Food Quality & Order Accuracy
You agree to prepare and deliver all orders accurately, at the quality represented in your menu, and in full compliance with food safety standards. Persistent issues may result in suspension or removal.
4.2 Customer Dispute Resolution
You agree to cooperate fully with WEASEY's investigation of customer complaints. All refunds or remedies to customers are the sole responsibility of the Merchant. WEASEY may temporarily suspend your listing pending resolution of serious disputes.
4.3 Suspension & Removal
WEASEY may immediately suspend or remove your account for: consistently poor ratings, repeated food safety violations, failure to maintain permits, or conduct causing harm to WEASEY or its users.
5. NON-CIRCUMVENTION
For customers first acquired through the Platform, you agree not to solicit or accept orders outside the Platform for 12 months from the last transaction. Violation is a material breach subject to liquidated damages equal to Subscription Fees that would have accrued during the remaining prohibition period.
6. CONFIDENTIALITY
You shall hold all Confidential Information — including customer data, WEASEY's technology, analytics, pricing, and personal data — in strict confidence. You may not disclose it to any third party without WEASEY's prior written consent. These obligations survive termination for 5 years. You agree to comply with the Data Privacy Act of 2012 (RA 10173) when processing customer personal data.
7. INDEMNIFICATION & LIABILITY
7.1 Merchant Indemnification
You agree to defend and hold harmless WEASEY from all claims arising from: food safety incidents, breach of this Agreement, failure to maintain permits, or inaccurate product listings.
7.2 Platform Liability Cap
WEASEY shall not be liable for indirect, special, or consequential damages. WEASEY's total aggregate liability shall not exceed the Subscription Fees paid in the 3 months preceding the claim.
8. TERM & TERMINATION
Either party may terminate with 30 days' written notice. WEASEY may terminate immediately for material breach. Upon termination, your Merchant profile shall be deactivated. Sections 5, 6, 7, and 9 survive termination.
9. DISPUTE RESOLUTION & GOVERNING LAW
This Agreement is governed by the laws of the Republic of the Philippines. Disputes shall be resolved by binding arbitration through the Philippine Dispute Resolution Center, Inc. (PDRCI), conducted in Makati City in English. Arbitration is on an individual basis — class proceedings are waived.
10. GENERAL PROVISIONS
This Agreement is the entire agreement between the parties. WEASEY may amend it with 30 days' notice. Continued use after the notice period constitutes acceptance. You may not assign your rights without WEASEY's prior written consent.

1. PERSONAL DATA WE COLLECT
For Merchants: Name, photo, business name, email, mobile number, business address, menu listings, pricing, hours, food categories, business permits, government-issued ID, business registration documents, food safety permits, payout account details (bank/GCash), transaction history, tax information, order performance, customer ratings, reviews, IP address, device information, and app usage patterns.
2. HOW WE COLLECT YOUR DATA
Through direct interactions when you register and manage your listing; automated technologies (cookies); and third parties such as identity verification services, payment processors, and public regulatory registries.
3. HOW WE USE YOUR DATA
To facilitate food bookings and order fulfillment; manage accounts; process payments; verify identity and credentials; detect and prevent fraud; send transaction confirmations and platform updates; analyze usage patterns; comply with applicable laws; and respond to lawful government requests.
4. HOW WE SHARE YOUR DATA
With customers (as necessary for order fulfillment); third-party service providers (payment processors, cloud hosting, identity verification) bound by confidentiality obligations; legal authorities when required by law; and in connection with a merger or acquisition subject to continued data protection obligations.
5. DATA STORAGE & SECURITY
We employ reasonable technical, organizational, and physical security measures. Merchant business data related to transaction records may be retained for up to 7 years in compliance with applicable tax and commercial laws. We will notify affected users of any data breach in accordance with the DPA.
6. YOUR DATA PRIVACY RIGHTS
Under RA 10173, you have the right to: be informed; object to or withdraw consent; access your data; request correction; request erasure or blocking; receive damages for unlawful use; request data portability; and file a complaint with the National Privacy Commission. 7. CHILDREN'S PRIVACY
Our Platform is not intended for individuals under 18 years of age. We do not knowingly collect personal data from minors.
